NON-EXCLUSIVE OWNERSHIP LICENSE
The Composition, including the music thereof, was composed by Charles Turner, who is professionally known as ChuckT ("Songwriter") managed under the Licensor. Licensor hereby grants to Licensee an exclusive license (“License”) to record vocal synchronization to the Instrumental (“Composition”) partly or in its entirety and substantially in its original form. Licensee owns 100% ownership & sole rights of the Master Recording, which grants Licensee rights for but not limited to independent distribution, demos, mixtapes/CDs, shows, contests, DVDs, etc. Licensor shall not reuse or resell exclusive licensed Instrumental.
Delivery file format. Upon completing the purchase the buyer will receive an email containing a download link to the mastered 44.1 KHz 16 Bit WAV quality beat.
Master Use. The Licensor hereby grants to Licensee a non-exclusive license (this "License) to record vocal synchronization to the Composition partly or in its entirety and substantially in its original form ("Master Recording")
Mechanical Rights. The Licensor hereby grants to Licensee a non-exclusive license to use Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disk, digital downloads, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, the "Recordings", and individually, a "Recordings") worldwide for non-profit. Additionally, licensor shall be permitted to distribute 10,000 free internet downloads or streams for non-profit and non-commercial use. This license does not allow monetized audio streams to sites like (Spotify, RDIO, Rhapsody) and is not eligible for monetization on YouTube but a music video can be made to the recording and uploaded to YouTube.
Performance Rights. The Licensor hereby grants to Licensee a non-exclusive license to use the Master Recording in non-profit performances, shows, or concerts. Licensee may not receive compensation from performances with this license.
Synchronization Rights. The Licensor hereby does not grant any synchronization rights for music videos streamed online (Youtube, Vimeo, etc.) as well as distribution of video to Television, Film or Video games.
Broadcast Rights. The Licensor hereby grants to Licensee no broadcasting rights.
Publisher's share. Licensor grants Licensee 0% of the publisher's share on the Master Recording.
Credit and Writer's share. Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats in writing where possible and vocally otherwise. Such credit shall be in substantial form: “Produced by ChuckT” or “Produced by @ChuckTBeats” If/Where a Master Recording is commercially released and registered with a Performance Rights Organization, Licensor shall be acknowledged as a Writer and rewarded 50% writer’s share.

Consideration. In consideration for the rights granted under this agreement, Licensee shall pay to licensor the sum of $175 US dollars and other good and valuable consideration, payable to "ChuckT Productions/Rich City Studios/Charles Turner", receipt of which is hereby acknowledged.
Indemnification. Accordingly, Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney's fees, arising of or resulting from a claimed breach of any of Licensee's representations, warranties or agreements hereunder.
Audio Samples. 3rd party sample clearance is the responsibility of the licensee.
License duration. The Licensor hereby grants to Licensee this non-exclusive license for an indefinite period.
Miscellaneous. This license is non-transferable and non-refundable and is limited to the Composition specified below, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both the Licensor and the Licensee and their respective successors, assigns, and legal representatives.
